Welcome to ShoppeMate. These Terms of Service ("Terms") govern your use of the ShoppeMate mobile application (the "App"), owned and operated by ShoppeMate LLC ("we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility and Account Registration

  • Age: You must be at least 13 years old to use this App.
  • Account: You must provide accurate and complete information during registration.
  • Security: You are responsible for maintaining the confidentiality of your account credentials.

2. Free Trial and Subscription Fees

  • Free Trial: New users receive a one-month (30 days) free trial upon registration.
  • Subscription: After the trial, a monthly fee of $4.29 (99ยข per week) applies automatically.
  • Billing: Your payment method will be charged monthly by our third-party PCI-compliant payment processor.
  • Cancellation: You can cancel your subscription at any time directly through your account settings inside the App.
  • Timing: To avoid being charged for the next cycle, you must cancel before your trial ends or before your next monthly billing date.
  • Refunds: All subscription charges are non-refundable.

2.1. Payment Processing, Invoicing, and Disputes

  • Card Handling: All credit card and payment processing is handled securely by our third-party, PCI-compliant payment provider. ShoppeMate LLC does not store or see your full credit card details.
  • Bank Handling: All bank account and payment processing is handled securely by our third-party, PCI-compliant payment provider. ShoppeMate LLC does not store or see your full bank account details.
  • Monthly Statements: On the 1st day of each calendar month, ShoppeMate will issue an electronic invoice/account statement to your registered email address. This statement will detail your $4.29 subscription fee and any earned cash back balances.
  • Payment Date: Actual payment processing and subscription billing charges occur automatically on the 4th day of each month. We'll credit or debit your card on file or initiate an automated clearing house (ACH) one-time credit or debit in your name to your bank account on file on the next business day. You agree that you may not revoke this authorization or cancel this payment.
  • Dispute Window: You must review your monthly statement immediately upon receipt. If you notice an error or wish to dispute any fees or cash back balances, you must contact ShoppeMate Support at support@shoppemate.com before the 4th day of the month.
  • Deemed Acceptance: If you do not refute or dispute the statement by the 4th day of the month, you automatically accept the statement as accurate, and the payment will be processed.
  • Failed Payments: If your monthly payment fails on the 4th, we will automatically retry the payment method over a 7-day grace period.
  • Suspension: If billing is not successful by the end of the 7-day grace period, your premium access will be suspended, and any pending cash back payouts will be paused until billing is successfully resolved.

3. Cash Back Programs

  • Referrals: You may earn cash back by referring new users who successfully sign up and complete a designated trial and billing period.
  • Price Checking: Users may earn cash back by actively using the price-checking features within the App according to daily limits.
  • Fraud: We reserve the right to forfeit balances or terminate accounts for suspected inaccurate price checks, manipulation, fake referrals, or automated scripts.
  • Payouts: Cash back balances are subject to verification and approval before distribution.

4. Prohibited Conduct

  • Abuse: You may not attempt to reverse-engineer, decompile, or disrupt the App's framework or backend infrastructure.
  • Cheating: Exploiting bugs or using bots to artificially generate cash back rewards is strictly prohibited.

5. Limitation of Liability

  • Disclaimers: The App is provided "as is" without warranties of any kind.
  • Cap: Our maximum liability to you will not exceed the total subscription fees you paid to us.

6. Governing Law

  • Jurisdiction: These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
